1. Preamble

The company SAASHUP SAS is referred to as "saashup", "Company" and "We".

By using our Platform you accept these Terms. If you do not agree to these Terms, you must not use our Platform. These terms are applied as soon as the customer creates an account by entering his email in the sign up form.


In using our Platform we may process your personal data, more information about this can be found here https://doc.saashup.com/article/privacy-policy.


Where you are not a consumer, you confirm that you have authority to bind the business on behalf of which you are accepting these Terms. In that context, references to “you” or “your” will be to that business. Otherwise it will refer to you, the individual entering into these Terms.

Saashup's services are governed by these terms of service.



saashup’s can terminate the contract any time by giving a 30 days notice to the customer.

The customer can terminate the contract when needed via its dashboard unless an agreement specifying a commitment period has been agreed.


Saashup.com is represented and operated by saashup sas, the company behind the product saashup.com.

SAASHUP SAS is a French company, based in France, regulated by French laws.

In case of a dispute, the jurisdiction will be the courts at SAASHUP SAS registered head office.

2. saashup’s obligations

saashup:

Ensures that hosting is done reasonably and with care, in accordance with global industry practice.


Is committed to correct any defect or malfunctioning hosts servers that are providing services for its customers as soon as possible to provide service continuity.


Provides a services available depending on service plan (https://saashup.com/#plan-title) , except for:

  • Planned downtime for maintenance.
  • Any unavailability caused by circumstances beyond saashup’s reasonable control like, and not limited to, acts of God, acts of governments or legals authorities, floods, fires, storms, earthquakes, riots, wars, civil unrest, acts of terrorism or strikes.
  • Internet services providers failures or delays.
  • Denial of service attacks.

3. Customer obligations

The customer, :

Engages to provide accurate and complete registration data (like email, address or billing information, but not limited to) and to keep them up-to-date.


You must keep your account details safe. Any piece of information as part of our security procedures including your username and password must be treated as confidential. We have the right to disable any user identification code or password at any time. If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at [email protected].

 

Ensures that its usage respects international laws, local legal regulations where services are operated (depending on the chosen datacenter) as French laws.


Agrees to not violate any point of this Terms of Service.


Has the knowledge and capacity to ensure the correct usage, configuration and administration of services.


Engages to use services as they should be and to not use them to attack, scan or spam networks.


Engages to not use services for high risk activities where the failure of service could lead to death, personal injury or environmental damage.


Takes responsibility for data hosted on saashup’s services and undertakes to make regular backups outside saashup’s infrastructure or select a plan with backup included.


Will not interfere or attempt to interfere with the proper working of saashup’s services or any other service.


Will not make abusive usage of network bandwidth, host servers or third party infrastructures.


saashup reserves a right to terminate without delay any service that will not respect this Terms of Service.


These terms are binding. By using our Platform and downloading any of our Website Content you acknowledge that these terms will apply and you have legal capacity to enter into contracts in the country you live. You also confirm that when acting on behalf of a business you have authority to bind them to these terms. If this is not the case, you should not use our Platform.

4. Customer support

saashup provides basic support to its customers to resolve common issues. This support concerns saashup’s services and is limited to them. It does not include support for softwares proposed as service.


Best efforts are made to respond as soon as possible during office hours (9 AM CET to 5 PM CET) and support quality is increasing according to plans (https://saashup.com/#plan-title)

5. Limitation of Liability

saashup is not liable for:

  • Disturbances that are not caused by saashup.
  • Logins and passwords choices, leak of credentials, misconfiguration of services or firewall, or non-update of services which remain the responsibility of the customer.
  • Internet connections and the quality of these connections, the Internet being composed of several networks that are outside saashup’s responsibility.
  • The software that makes up the services, such as bugs or security issues, is not developed by saashup but by third parties.

6. Services Availability & Penalties

saashup provides by default a monthly average availability level of 98%.

This SLA (Service Level Agreement) can be increased by a specific contract according to plans.

This does not include downtimes required by maintenance, updates, shutdown for force majeure or if services cannot be accessed on the internet due to difficulties outside saashup’s responsibility.


Penalties can be applied if saashup fault is proven and customer contacts the support no later than 10 days after the incident.


Penalties are calculated as a prorated value per minute of unavailability of the service concerned paid by the customer during the month of the incident.


These penalties are capped at 30% of the value of the service for the month of the incident and cannot be accumulated.


Penalties will be deducted from the next invoice the customer will receive with a 30 days limit.

7. Payments and Billing

Prices are listed directly on the website for each service.

They exclude the VAT rate that can be applied, depending on the customer's country, directly on the final bill.

Prices may be revised by saashup as soon as a message has been sent to the customer at least one month before the change in pricing is applied.

Any service that is not paid by the due date may be suspended. In such a case, an interest at a rate of 10% of the outstanding balance may be applied.

If the service is not paid, saashup can destroy the service and delete all data remaining like service's configurations, data and backups.

8. Intellectual Property

Our Platform. We are the owner or the licensee of all intellectual property rights in the Platform including any modifications and improvements, whether made by us or suggested by you. Those works are protected by copyright laws and treaties around the world. All such rights are reserved. We provide you with a worldwide, non-exclusive, non-transferable, non-sublicensable, revocable limited term licence for internal use only to use the Platform in accordance with these Terms. Such a right to use the Platform and any User Content on the Platform will expire at the point your subscription ends or when we terminate the Agreement, whichever is sooner.


Data you transmit through the Platform. All documents, messages, logos, images, files and other information you transmit through our Platform, will remain yours and you shall retain all rights, titles and interest in those. You do however provide us with a worldwide, royalty-free, non-exclusive, transferable and sublicensable right to use your data to improve our Platform.

9. Content on our platform

Do not reverse engineer any of the Platform. You will not reverse engineer or otherwise attempt to derive or obtain information about the functioning, manufacture or operation of the Platform. Nor will you attempt to modify, translate, or create derivative works based on the Platform; or copy (save for archival purposes), rent, lease, distribute, pledge, assign or otherwise transfer or encumber rights to the Platform.


You must not attempt to gain unauthorised access. Whether this is to our Platform, the server on which our Platform is stored or any server, computer or database connected to our Platform. You must not attack our Platform via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Platform will cease immediately.


Website Content: We are the owner or the licensee of all intellectual property rights in all of the Website Content on our Platform, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved. You may download Website Content from our Platform for your personal use and you may draw the attention of others within your organisation to Website Content posted on our Platform. You must not modify any saashup Website Content you download.

10. Capacity Management

Upgrades. Where you upgrade  the services plan, you can access on our Platform and you are on a monthly plan, we will amend your fees payable on the next billing cycle. Where you are on an annual plan, you must pay for these in advance prior to the upgrade taking place. 


In the event you exceed the limit of your current plan, we may decide to upgrade your account accordingly to facilitate your usage. We will provide you with 14 days’ notice prior to upgrading your account in which you can choose to object to this change of Platform access.
